For the purpose of these Terms, “Virtue Xolutions,” “we,” “us,” or “our” refers to Virtue Xolutions and its authorized representatives, employees, contractors, partners, and service providers.
“Client,” “you,” or “your” refers to any person, company, business, organization, or representative who accesses our website, contacts us, requests services, or enters into a business relationship with us.

- Hosting, domain, and server support

The exact scope, timeline, pricing, deliverables, and responsibilities for any project will be defined in a proposal, invoice, agreement, statement of work, email confirmation, or other written communication.
3. Website Use

You agree not to:
- Use the website for illegal, fraudulent, harmful, or abusive purposes

5. Proposals, Quotations, and Pricing
Any quotation, proposal, or estimate provided by Virtue Xolutions is based on the information available at the time it is prepared.
Pricing may change if:
- The project scope changes
- Additional features or revisions are requested
- Client requirements are unclear, incomplete, or revised
- Third-party costs change
- Urgent delivery or additional resources are required
- Delays occur due to missing client approvals, content, access, or feedback
Unless otherwise stated, quotations are valid only for the period mentioned in the quotation or proposal.
6. Client Responsibilities
To complete a project properly, the client is responsible for providing:
- Accurate project requirements
- Timely feedback and approvals
- Content, images, brand assets, login details, and business information
- Access to required platforms, hosting, domains, CRMs, payment gateways, social media accounts, or third-party tools
- Legal rights to all materials provided to Virtue Xolutions
- Timely payments according to the agreed terms
Delays in providing required information, approvals, or payments may affect project timelines and delivery dates.
7. Payments and Invoices
Payment terms will be stated in the relevant proposal, invoice, agreement, or written communication.
Unless otherwise agreed:
- Work may begin only after the required upfront payment is received
- Milestone payments must be cleared before the next phase begins
- Final files, website launch, app handover, or source files may be withheld until full payment is received
- Late payments may result in project delay, suspension, or additional fees
- Third-party costs such as hosting, domain, plugins, licenses, stock assets, advertising spend, APIs, and software subscriptions are the client's responsibility unless otherwise agreed in writing
All payments made are subject to the agreed scope, refund policy, and work completed.
8. Refunds and Cancellations
Refund eligibility depends on the project stage, work completed, resources allocated, and agreed terms.
Unless otherwise agreed in writing:
- Payments for completed work are non-refundable
- Setup fees, consultation fees, discovery fees, third-party costs, hosting, domains, licenses, paid tools, ad spend, and purchased assets are non-refundable
- If a client cancels a project after work has started, Virtue Xolutions may deduct the value of work completed, time spent, resources allocated, and costs incurred
- No refund will be due where the client delays, abandons, or fails to cooperate with the project after work has begun
Any refund approved by Virtue Xolutions will be processed according to the original payment method or another agreed method, subject to processing time and payment provider rules.
9. Project Timelines
Project timelines are estimates unless expressly confirmed as fixed in writing.
Timelines may be affected by:
- Delay in receiving content, feedback, approvals, or access
- Changes in scope
- Third-party platform delays
- Technical issues outside our control
- Client-side decision delays
- Additional revision requests
- Force majeure events
Virtue Xolutions will make reasonable efforts to meet agreed timelines but will not be liable for delays caused by the client, third-party services, or circumstances beyond our reasonable control.
10. Revisions and Scope Changes
Revisions are limited to the number and type stated in the proposal, package, or written agreement.
A revision means a reasonable modification to already agreed work. It does not include a completely new concept, new feature, new page structure, new platform, new strategy, or change in business direction.
Additional work outside the agreed scope may require additional charges and timeline adjustments.
11. Intellectual Property
Unless otherwise agreed in writing:
- Virtue Xolutions retains ownership of concepts, drafts, code, designs, templates, processes, tools, frameworks, internal know-how, and materials created before or outside the client's project
- Client-owned content, logos, brand materials, and business information remain the property of the client
- Final deliverables specifically created for the client may be transferred to the client after full payment is received
- Source files, editable files, raw files, development files, and backend code are provided only if included in the agreed scope
- Virtue Xolutions may retain the right to use general knowledge, skills, ideas, techniques, and experience gained during the project
The client must not claim ownership of unpaid work, rejected concepts, unused drafts, or materials not included in the final paid deliverables.
12. Portfolio and Marketing Rights
Unless the client requests confidentiality in writing and we agree, Virtue Xolutions may display completed work, project names, screenshots, testimonials, logos, or general descriptions of services provided in our portfolio, website, proposals, social media, presentations, or marketing materials.
We will not intentionally disclose confidential business information in portfolio use.
13. Client Materials and Legal Compliance
The client confirms that all content, images, videos, trademarks, business information, documents, products, claims, and materials provided to Virtue Xolutions are lawful and do not infringe any third-party rights.
The client is responsible for reviewing and approving all final content, legal pages, product claims, advertising claims, compliance statements, and website/app functionality before launch.
Virtue Xolutions is not responsible for legal issues arising from client-provided materials, business claims, regulated products, misleading content, copyright violations, privacy violations, or unlawful use of delivered work.
14. Third-Party Tools and Platforms
Our services may involve third-party platforms, including but not limited to hosting providers, domain registrars, WordPress, Shopify, WooCommerce, payment gateways, app stores, Google, Meta, CRM tools, plugins, APIs, email platforms, and analytics providers.
Virtue Xolutions is not responsible for:
- Downtime or errors caused by third-party platforms
- Changes in third-party pricing, policies, APIs, algorithms, or approval rules
- Rejection by app stores, payment processors, advertising platforms, or marketplaces
- Losses caused by third-party suspension, limitation, account review, or service interruption
- Security breaches caused by third-party systems
The client is responsible for complying with the terms and policies of all third-party platforms used in the project.
15. Hosting, Domains, and Maintenance
If hosting, domain, or maintenance services are provided, the details will be stated in the relevant agreement, invoice, or service package.
Unless otherwise agreed:
- Hosting and domain renewals must be paid before expiry
- Virtue Xolutions is not responsible for loss caused by expired domains, unpaid hosting, missed renewals, or client failure to respond
- Website maintenance does not include major redesigns, new features, malware cleanup, third-party issue resolution, or emergency support unless included in the package
- Backups, security updates, and monitoring depend on the selected service plan
16. Digital Marketing, SEO, and Advertising
For SEO, social media, paid ads, lead generation, or marketing services, the client understands that results may vary.
Virtue Xolutions does not guarantee:
- Specific rankings
- Fixed traffic numbers
- Exact sales results
- Guaranteed leads
- Approval by advertising platforms
- Specific return on ad spend
- Viral reach or engagement
- Marketplace or platform acceptance
Marketing performance depends on many factors, including budget, competition, market demand, offer quality, platform algorithms, website quality, audience behavior, and client cooperation.
17. Confidentiality
Both parties should treat confidential business, technical, financial, and project information responsibly.
Virtue Xolutions will take reasonable care to protect confidential client information. However, confidentiality obligations do not apply to information that:
- Is publicly available
- Was already known before disclosure
- Is independently developed
- Is required to be disclosed by law
- Is shared with authorized service providers for project delivery
A separate non-disclosure agreement may be signed where required.
18. Privacy
Our collection and use of personal information is explained in our Privacy Policy. By using our website or services, you also agree to our Privacy Policy.
19. No Warranties
Our website and services are provided on an “as available” and “as agreed” basis.
To the maximum extent permitted by law, Virtue Xolutions does not provide warranties that:
- The website will always be uninterrupted or error-free
- All defects will be immediately corrected
- The website or server will be free from harmful components
- A service will produce a specific commercial result unless expressly guaranteed in writing
- Third-party platforms will remain available, compatible, or unchanged
20. Limitation of Liability
To the maximum extent permitted by law, Virtue Xolutions will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, or interruption of operations.
Where liability cannot be excluded, Virtue Xolutions' total liability shall be limited to the amount paid by the client for the specific service giving rise to the claim, unless a different limitation is required by applicable law.
21. Indemnification
You agree to defend, indemnify, and hold harmless Virtue Xolutions, its directors, employees, contractors, partners, and representatives from any claim, loss, liability, damage, cost, or expense arising from:
- Your use of our website or services
- Your breach of these Terms
- Your violation of any law or third-party rights
- Materials, content, or information you provide to us
- Your business operations, products, services, claims, or customer disputes
- Your misuse of delivered work or third-party platforms
22. Suspension or Termination
Virtue Xolutions may suspend or terminate website access, services, support, or project work if:
- You breach these Terms
- Payment is overdue
- Required information or approvals are not provided
- You misuse our services or team communication channels
- The project involves unlawful, harmful, abusive, or unethical activity
- Continued work may expose Virtue Xolutions to legal, financial, reputational, or security risk
Upon termination, the client remains responsible for payment of work completed, costs incurred, and any outstanding invoices.
23. Force Majeure
Virtue Xolutions will not be responsible for delay or failure to perform due to events beyond reasonable control, including internet outages, hosting failures, cyberattacks, natural disasters, war, civil unrest, strikes, government restrictions, platform downtime, payment processor issues, or other unforeseen events.
24. Third-Party Links
Our website may contain links to third-party websites, platforms, or resources. These links are provided for convenience only.
Virtue Xolutions does not control and is not responsible for third-party content, policies, security, availability, or practices.
25. Changes to These Terms
We may update these Terms and Conditions at any time by posting a revised version on our website.
Your continued use of our website or services after changes are posted means you accept the updated Terms.
26. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai, without regard to conflict of law principles.
Any dispute arising from these Terms, the website, or our services shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, unless otherwise agreed in writing.
